If someone is trading in a forklift, there is no argument: they are selling it to a dealer first. The dealer won't give them top dollar, because they won't make a profit when they resell it. They will, however, inspect it and repair it and then offer it with a warranty.
If a company is going out of business, you may get a good deal, but then again, you may be getting a lemon. Unless you are a factory trained technician, you just won't know for sure. Better to let a good dealer purchase it at auction. That's where many of the best forklifts were originally purchased - in lots at auctions. They are purchased cheaply and the savings are passed on to the customer, who also gets the peace of mind of knowing the reconditioned forklifts have passed a rigorous inspection before being put up for sale.
If someone attempts to sell a dealer a forklift that is almost beyond repair, the dealer's trained mechanics will find the flaws. When you buy reconditioned forklifts from a reputable dealer, you know they are in serviceable condition.
In a nutshell, your best bet when buying a used lift truck is to buy it from a dealer with a long history of selling new and reconditioned forklifts. Not only will this save you many weeks of fruitless search, it will virtually guarantee that the forklift you buy will be in good condition. In fact, it will be guaranteed by the dealer's warranty.
